Dear Key Allegro Property Owner,

You may have recently received a letter from Mr. Gary B. Mayes regarding an election committee called meeting of Members to elect two board members since the Board, for the reasons discussed in a previous Board letter sent on May 10, 2021, has been advised by the Association’s attorney not to call an annual meeting at this time. In the interest of avoiding additional litigation and continuing to protect the interests of all Association Members, the Board will participate in the meeting called by Mr. Mayes.

• The enclosed proxy will enable the named individual to attend and act on your behalf at the election committee called meeting or other meeting of Members held for the purpose of a board member election.

• The Board kindly asks that you complete the enclosed proxy and return it by 5 p.m. on June 23, 2021 (see address or email on form).

• If sending by mail, please allow several days for delivery.

• If you need someone to pick up your proxy, please contact Chris Veatch at (361) 557-4252.

• IF YOU HAVE ALREADY SUBMITTED A PROXY TO MR. MAYES, YOU CAN STILL SUBMIT A PROXY TO THE BOARD. IN THE EVENT AN OWNER SUBMITS MORE THAN ONE PROXY, THE PROXY WITH THE LATEST DATE WILL CONTROL.

• It is the Board’s opinion that the lawsuit threatened by Mr. Mayes in his letter would be without merit, but the Board does not wish to devote Association funds to unnecessary litigation.

• Anyone considering running for the Board is strongly encouraged to revisit the Board’s letter dated May 10, 2021, for background information on the lawsuit currently pending against the Association, as the authority of the Board to act on behalf of the Association is being challenged.
